Welcome to Timewise. These Terms and Conditions ("Terms") govern your access to and use of the Timewise platform, website, and services (collectively, the "Service") operated by Timewise ("we," "us," or "our"). Please read these Terms carefully before using the Service.

01Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

02Description of the Service

Timewise is a unified calendar platform that brings together your personal and professional schedules into a single, cohesive view. The Service enables you to:

• Aggregate calendars from multiple sources into one interface
• Manage events, reminders, and scheduling across personal and work contexts
• Share calendars and coordinate schedules with family members, partners, and teams
• Access your unified calendar across devices via the web application

We may modify, update, or discontinue features of the Service at any time. We will make reasonable efforts to notify you of significant changes that affect your use of the Service.

03User Accounts and Registration

To access the Service, you must create an account by authenticating through Google OAuth. By registering, you agree to:

• Provide accurate and complete information during the registration process
• Maintain the security of your account credentials and Google account
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We rely on Google's authentication infrastructure for account creation and sign-in. You are responsible for maintaining the security of your Google account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

04Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
• Use the Service to transmit any malicious code, viruses, or harmful content
• Interfere with or disrupt the integrity or performance of the Service
• Use automated systems (bots, scrapers, crawlers) to access the Service without our express written permission
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to harass, abuse, or harm another person or entity
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity

We reserve the right to suspend or terminate your access to the Service if we reasonably believe you have violated this Acceptable Use Policy.

05User-Generated Content and Data Ownership

You retain full ownership of all content and data you create, upload, or store through the Service, including but not limited to event titles, descriptions, notes, and any other information you provide ("User Content").

By using the Service, you grant Timewise a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your User Content or your account, except where retention is required by law or legitimate business purposes (such as backups maintained in the ordinary course of operations).

You are solely responsible for the User Content you provide through the Service. You represent and warrant that you own or have the necessary rights to use and authorize the use of your User Content as described in these Terms.

06Calendar Data

Your calendar data — including events, schedules, and related metadata synced from third-party services such as Google Calendar — remains your property at all times. Timewise does not claim ownership over your calendar data.

You grant Timewise a limited license to access, retrieve, process, and display your calendar data solely for the purpose of operating the Service. This includes:

• Syncing and aggregating calendar data from connected third-party services
• Displaying your calendar data within the Timewise interface
• Processing calendar data to provide features such as scheduling, reminders, and shared calendars
• Temporarily caching calendar data to improve performance and reliability

You may disconnect third-party calendar integrations or delete your account at any time, at which point we will cease processing your calendar data and delete it in accordance with our Privacy Policy.

07Subscription and Payment Terms

Timewise offers the following subscription plans:

Paid subscriptions are billed on a monthly recurring basis. Prices are stated in US dollars and are exclusive of applicable taxes unless otherwise noted. We reserve the right to change subscription pricing with at least 30 days' notice to existing subscribers.

08Billing, Auto-Renewal, Cancellation, and Refunds

Billing: Payment is processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your selected payment method on a recurring monthly basis.

Auto-Renewal: Paid subscriptions automatically renew at the end of each billing cycle unless cancelled. You will be charged the applicable subscription fee at the beginning of each renewal period.

Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period, after which your account will revert to the Free plan. You will not be charged for subsequent billing periods after cancellation.

Refunds: Subscription fees are generally non-refundable. However, if you experience a significant service issue, you may contact us at hello@timewise.nanocorp.app to request a refund, which will be evaluated on a case-by-case basis at our sole discretion.

09Service Availability and Uptime

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free access. The Service is provided on a best-effort basis without a formal Service Level Agreement (SLA).

We may temporarily suspend access to the Service for maintenance, updates, or other operational reasons. We will make reasonable efforts to provide advance notice of planned downtime when possible. We are not liable for any loss or damage resulting from service interruptions, whether planned or unplanned.

10Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Timewise and its licensors. This includes, but is not limited to:

• The Timewise brand name, logo, and visual identity
• The Service's source code, software, and underlying technology
• The design, layout, and user interface of the Service
• All text, graphics, and other materials created by Timewise

The Service is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, or publicly display any part of the Service without our prior written consent.

11Third-Party Integrations

The Service integrates with third-party services to provide its functionality, including but not limited to:

• Google Calendar API:Used to sync and aggregate your calendar data. Your use of Google Calendar is subject to Google's own Terms of Service and Privacy Policy.
• Stripe: Used to process subscription payments securely. Your payment information is handled directly by Stripe in accordance with their Terms of Service and Privacy Policy.

We are not responsible for the practices, content, or availability of third-party services. Your interactions with third-party services are governed by their respective terms and policies. We make no warranties or representations regarding third-party services and are not liable for any damages arising from your use of them.

12Limitation of Liability

To the maximum extent permitted by applicable law, Timewise and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your data
• Damages resulting from any interruption or cessation of the Service
• Damages resulting from the conduct or content of any third party on the Service

In no event shall our total aggregate liability for all claims arising out of or relating to the Service exceed the amount you have paid to Timewise in the twelve (12) months preceding the event giving rise to the claim, or fifty US dollars ($50), whichever is greater.

13Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied.

To the fullest extent permitted by law, Timewise disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

You acknowledge that your use of the Service is at your sole risk and that you are responsible for any damage to your computer system or loss of data that may result from your use of the Service.

14Termination of Accounts

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Violation of the Acceptable Use Policy
• Conduct that we determine, in our sole discretion, is harmful to other users, the Service, or Timewise
• Extended periods of inactivity

You may terminate your account at any time by contacting us at hello@timewise.nanocorp.app. Upon termination, your right to use the Service will cease immediately. We will delete your account data in accordance with our Privacy Policy, except where retention is required by law.

Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitation of liability, and dispute resolution.

15Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction and venue of such courts and waive any objections based on inconvenient forum.

16Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will notify you by sending an email to the address associated with your account at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.

We encourage you to review these Terms periodically. The "Last updated" date at the top of this page indicates when these Terms were last revised.
